Services
Kelvino provides done-for-you automation system design, build, and ongoing optimisation services for service businesses. Scope, deliverables, timelines, and acceptance criteria are defined per engagement in a separate written service agreement signed by both parties. These Terms of Service apply to all engagements in addition to any service-specific agreement.
Acceptable Use
You agree to use Kelvino's services only for lawful business purposes. You must not use the systems we build to send unsolicited communications to individuals who have not consented to receive them, to collect data without appropriate legal basis, or to operate in violation of applicable law. You are responsible for ensuring that your use of any AI or automation system we build complies with the laws applicable to your business and jurisdiction.
Payment
Pricing is scoped per engagement following the free audit. Payment terms are outlined in your service agreement. All fees are due as specified in that agreement. Overdue amounts beyond 14 days may result in paused service delivery. All prices are exclusive of applicable taxes unless stated otherwise.
Intellectual Property
Upon receipt of full payment for the relevant build phase, you own the specific workflows, AI agent configurations, and automation logic we build for your business. Kelvino retains rights to its proprietary methodology, framework, templates, tooling, and any pre-existing intellectual property used in delivery. We may reference the engagement type (not client name) in our marketing unless you request otherwise in writing.
Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement — including business processes, pricing, customer data, and technical specifications. This obligation survives termination of the service agreement for a period of 3 years. Neither party will disclose confidential information to third parties without written consent, except as required by law.
Marketing Communications
By booking a free audit or engaging Kelvino's services, you agree to receive transactional emails related to your engagement. We may also send you relevant automation insights and business resources unless you opt out. You can unsubscribe from marketing emails at any time using the link in any such email or by contacting us directly. We will never add you to a marketing list without your explicit consent.
Disclaimer of Warranties
Kelvino builds automation systems based on information provided by you and industry benchmarks. We make no warranty that results will match specific projections, as outcomes depend on factors outside our control including market conditions, your team's implementation, and platform availability. We do warrant that all systems are built and tested to a professional standard before delivery.
Limitation of Liability
Kelvino's aggregate liability arising from or in connection with any service agreement is limited to the total fees paid by you for the specific engagement in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages — including lost revenue, lost data, or business interruption — arising from use of our systems, even if we have been advised of the possibility of such damages.
Termination
Either party may terminate an ongoing service agreement with 30 days written notice unless a different notice period is specified in the service agreement. Work completed and invoiced prior to the effective termination date is non-refundable. On termination, we will provide you with all deliverables completed to date and transfer access credentials for any systems deployed on your behalf.
Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes that cannot be resolved informally will be submitted to binding arbitration in Toronto, Ontario, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
Changes to These Terms
We may update these Terms of Service from time to time. We will notify active clients of material changes by email at least 14 days before the change takes effect. Your continued use of our services after a change constitutes acceptance of the updated terms.
